These Terms of Service ("Terms") constitute a legal agreement between you and Allye ("Allye," "we," "us") and govern your use of the Allye software, platform, APIs, documentation, and all associated tools and services, including our website at www.ai-allye.com (collectively, the "Service"). Your use of the Service signifies your acceptance of these Terms.We also encourage you to review our Privacy Policy, which details our practices for collecting, using, and protecting your personal data.
1. Service Access and Use
1.1. Provision of the Service
Allye is an applied research company dedicated to the automation of analysis. The Service provides a suite of no-code analysis tools powered by machine learning, designed to help users perform analytical tasks with greater ease and efficiency. These tools can generate analytical outputs and other functions. Conditioned upon your adherence to these Terms, Allye grants you a limited, non-exclusive, non-transferable right to access and use the Service.
1.2. AI Model Training
ALLYE IS COMMITTED TO PROTECTING YOUR DATA. WE WILL NOT USE YOUR CONTENT TO TRAIN OUR AI MODELS, NOR WILL WE PERMIT ANY THIRD PARTY TO DO SO, WITHOUT YOUR EXPLICIT PRIOR CONSENT.
1.3. Limitations of AI-Generated Outputs
You acknowledge that any assistance, reports, explanations, or other outputs generated by the Service ("Outputs") are created automatically by machine learning technology. These Outputs may be similar or identical to those provided to other users, and these Terms do not grant you any rights to Outputs generated for other users. You further recognize that AI models have inherent limitations, including:
(i) Outputs may contain inaccuracies or misleading information.
(ii) AI models operate based on existing algorithms and data, which limits their capacity for genuine creativity and may lead to repetitive or formulaic results.
(iii) The technology may struggle to comprehend linguistic nuances, such as idioms, slang, and cultural context.
(iv) Complex tasks requiring sophisticated reasoning, judgment, or critical decision-making can be challenging for AI models.
(v) The data used to train AI models can contain biases or be of suboptimal quality.
You agree that you are solely responsible for evaluating the utility of any Outputs and assume all risks associated with their use, including any reliance on their perceived accuracy or completeness.
1.4. Use Restrictions
You agree not to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying architecture of the Service; (ii) copy, modify, translate, or create derivative works based on the Service; (iii) sell, lease, lend, or rent the Service to any third party; (iv) remove any proprietary notices from the Service; (v) use the Service or its Outputs to develop or train a competing model or service, or to engage in model extraction attacks; (vi) probe, scan, or test the vulnerability of the Service; (vii) share the results of any benchmark tests of the Service with a third party without including all information necessary to replicate the tests; (viii) scrape, harvest, or otherwise extract data from the Service; (ix) use the Service in a way that infringes upon or violates the intellectual property or other rights of any third party, or that contravenes any applicable laws; (x) provide Allye with any data that is subject to specific legal protections beyond those for general "personal data," such as legally protected health information or financial data requiring heightened security standards under applicable laws; or (xi) knowingly allow any third party to perform any of the aforementioned actions. You must promptly inform Allye of any unauthorized use you become aware of and provide reasonable assistance to help terminate such activity.
1.5. Beta Services
Allye may, from time to time, offer you access to "Beta Services," which will be clearly marked as beta, pilot, pre-release, non-production, or a similar designation. Your use of Beta Services is optional. They are intended for evaluation purposes only, are not fully supported, and may be governed by additional terms. Beta Services are provided "AS IS" and "AS AVAILABLE," without any warranty, support, or maintenance. Allye reserves the right to discontinue Beta Services at any time without notice and may never make them generally available. ALLYE SHALL BEAR NO LIABILITY WHATSOEVER ARISING FROM OR IN CONNECTION WITH YOUR USE OF BETA SERVICES, WHICH YOU USE AT YOUR OWN RISK.
1.6. Automated Analysis Feature
The Service might include features that automatically execute analytical tasks without requiring manual confirmation. Such features will be clearly labeled. By using an automated feature, you accept and assume all associated risks, including but not limited to system disruptions, software flaws, data loss, and security vulnerabilities. YOU ARE SOLELY RESPONSIBLE FOR ANY CONSEQUENCES OF USING THIS FEATURE AND FOR IMPLEMENTING APPROPRIATE SAFEGUARDS, TESTING, AND MONITORING.
2. Eligibility
To use the Service, you must be at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher. By agreeing to these Terms, you confirm that you meet this age requirement, have not been previously suspended or removed from the Service, and that your use of the Service complies with all applicable laws in your region.
3. Account Registration
To use most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You will be asked to create a password and are solely responsible for maintaining its confidentiality. You accept full responsibility for all activities that occur under your account. If you suspect a security breach, you must notify us immediately at aiallye735@gmail.com.
4. Payment Terms
4.1. Paid Services
Certain features of the Service may require payment of fees. You will have the opportunity to review and accept any applicable fees before you are charged. All fees are stated in Japanese Yen (JPY) and are non-refundable, except where required by law.
4.2. Pricing
Allye reserves the right to set the prices for the Service. We will make reasonable efforts to keep the pricing information on our website current. We may change our fees, but we will provide you with advance notice of such changes through the Service interface, email, or other reasonable means. Your continued use of the Service after a price change takes effect constitutes your agreement to pay the new amount. You are responsible for all applicable taxes (such as consumption tax), excluding taxes based on Allye's net income.
4.3. Payment Processing
We use Stripe, Inc. and its affiliates ("Stripe") as a third-party payment processor. Payment processing services are subject to the Stripe Agreements (available on their website). By using the payment features of the Service, you agree to be bound by the Stripe Agreements. Allye assumes no liability for any payments processed through Stripe.
4.4. Subscription Service
The Service may be offered on a subscription basis with automatically recurring payments ("Subscription Service"). Your subscription begins on the date of your first payment (the "Subscription Billing Date") and will automatically renew for successive periods of the same duration unless you cancel it. You authorize Allye or its payment processor to charge the applicable subscription fee to your payment method on each renewal date. To avoid being charged for the next subscription period, you must cancel your subscription at least 24 hours before the renewal date. You can cancel through your account's billing menu or by contacting us.
4.5. Add-Ons and Usage-Based Features
We may offer supplemental products or features ("Add-Ons") that enhance the Service, including features with usage-based pricing. Add-Ons are considered part of the Service and are subject to these Terms.
4.6. Delinquent Accounts
Allye may suspend or terminate access to the Service for any account with an unpaid balance. Delinquent accounts may be charged fees incidental to the collection of unpaid amounts. If your payment method fails upon renewal, we reserve the right to delete your account and its associated data without liability to you.
5. Ownership and Intellectual Property
5.1. The Service
Allye and its licensors retain all right, title, and interest in and to the Service and all related intellectual property rights. No licenses are granted by implication.
5.2. Feedback
If you provide us with suggestions or input regarding the Service ("Feedback"), you grant Allye an unrestricted, royalty-free, perpetual right to use and exploit such Feedback in any manner without compensation to you.
5.3. Your Content and Outputs
You retain all ownership rights to the information and data you provide to the Service ("Inputs"). Allye hereby assigns to you all of its rights, title, and interest, if any, in and to the Outputs generated by the Service based on your Inputs.
5.4. Usage Data
Allye may collect and analyze technical data about your use of the Service ("Usage Data") for internal business purposes, such as improving and securing the Service. We will only disclose Usage Data to third parties in an aggregated and de-identified form that does not identify you.
6. Third-Party Services
The Service may integrate with optional third-party services. Your use of such services is subject to the terms and conditions of the third-party provider, and Allye makes no warranties regarding them.
7. Communications
We may send you emails regarding our products and services. You can opt out of promotional emails by following the unsubscribe instructions they contain.
8. Modification of Terms
We may revise these Terms from time to time. We will post the updated version on this page. Your continued use of the Service after the changes become effective will constitute your acceptance of the revised Terms.
9. Termination
You may cease using the Service at any time. We reserve the right to suspend or terminate your access to the Service at any time. If we terminate your paid Subscription Service without cause, we will provide a pro-rata refund for the unused portion of your subscription term. No refund will be provided if we terminate your account due to a violation of these Terms. Upon termination, we may delete any data associated with your account.
10. Modification of the Service
Allye reserves the right to modify or discontinue any part of the Service at any time, with or without notice. We will not be liable for any such modification, suspension, or termination.
11. Copyright Infringement Claims
If you believe your intellectual property rights have been infringed, please send a notice to aiallye735@gmail.com with a detailed description of the alleged infringement.
12. Privacy

13. Indemnification
You agree to defend, indemnify, and hold harmless Allye and its affiliates, officers, directors, and employees from any claims, damages, or losses (including reasonable attorneys' fees) arising from your misuse of the Service or your violation of these Terms.
14. DISCLAIMER OF WARRANTIES
THE SERVICE AND ANY OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ALLYE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE SERVICE AND ANY OUTPUTS IS AT YOUR SOLE RISK.
15. LIMITATION OF LIABILITY
15.1. No Indirect Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, ALLYE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS OR GOODWILL.
15.2. Liability Cap
TO THE FULLEST EXTENT PERMITTED BY LAW, ALLYE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ALLYE FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) FIFTEEN THOUSAND JAPANESE YEN (JPY 15,000).
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. You agree that any and all disputes arising from or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.

18. Miscellaneous
These Terms constitute the entire agreement between you and Allye. You may not assign these Terms without our prior written consent. We may assign these Terms at any time. Our failure to enforce any provision is not a waiver of our right to do so later. If any part of these Terms is found to be unenforceable, the remaining parts will continue in full force and effect.
